Eddie Wong, CPA
Eddie Wong is a partner of the China Practice Group and the Partner-in-Charge of the Asia Practice at Friedman LLP. He specializes in working with entrepreneurial Asian-American business owners in the United States, as well as servicing emerging businesses with Asian parent companies.
Eddie is knowledgeable regarding the tax, operational, and management issues that impact a business in this specialized community, and he works with owners to optimize their understanding of the financial and business community in the United States. Eddie and the China Practice Group provide SEC audits and consulting services to over 20 Chinese companies listed on various U.S. exchanges. Eddie also works with our DFK International affiliate firms in China and Hong Kong, assisting companies in initial public offerings and reverse acquisitions.
Richard I. Anslow, Esq.
Richard I. Anslow, a member of Ellenoff Grossman & Schole LLP, is a senior corporate and securities attorney whose practice focuses on domestic and international securities, financings, mergers and acquisitions and general corporate representation. His practice encompasses representation of a variety of public and private company issuers, investors and investment banks.
In the securities area, Mr. Anslow has extensive experience in structuring, negotiating and consummating initial and other public offerings, "PIPE" offerings and other public and private corporate financings (including private equity and venture stage), as well as reverse merger transactions, including for domestic and international companies (including Chinese and Canadian companies).
In the corporate area, he represents companies across many industry sectors in mergers and acquisitions, public reporting requirements, corporate governance, Sarbanes-Oxley compliance, corporate formations and corporate restructurings. He also represents companies in their efforts to list or be quoted on United States stock exchanges, including NYSE and NASDAQ, as well as assisting FINRA registered broker-dealers in the Form 15c-211 process to obtain quotations on the Over the Counter Bulletin Board and OTCQX and OTCQB Markets.


Anthony W. Basch, Member
Tony is a member of Kaufman & Canoles Corporate and Public Finance Group and China Team. Tony has worked on a variety of initial public offerings, private placements, secondary offerings and shelf registrations for companies listed on the NASDAQ Stock Exchange and American Stock Exchange. In addition, he assists listed companies with meeting their SEC and market compliance responsibilities. Tony advises public and private companies on a variety of corporate matters, from mergers and acquisitions to general corporate governance.
Tony speaks Mandarin and regularly assists Chinese companies that are listed on U.S. markets with their securities law obligations. As a member of the China Team, he has completed IPOs on the NASDAQ Capital Market for several companies headquartered in the PRC.
VINCENT MCGILL, EATON & VAN WINKLE LLP
Mr. McGill has a wide ranging corporate practice with an emphasis on corporate finance and securities law. His experience includes the representation of issuers and underwriters and placement agents in public offerings and private placements, leveraged buyouts, reverse mergers, SPACs and the design of tax sensitive partnerships and LLCs including REITs. He has participated in offerings of debt and equity for domestic US and foreign issuers. The offerings for which he has served as counsel have included simultaneous offerings of securities within and outside the United States, as well as public offerings and private placements in which the proceeds of the offering, combined with institutional debt financing, were used to complete a simultaneous acquisition of an operating business, real estate or commodities. In the representation of his clients Mr. McGill has been involved in all aspects of their businesses including senior personnel matters, the selection of Board Members and the negotiation and documentation of acquisition and licensing agreements involving the business's core intellectual property. Mr. McGill has been involved in all aspects of structuring transactions and consummating an offering, including bringing the principals to the table. He has represented a number of investment banks, including Bear, Stearns & Co., Inc., UBS, Taglich Brothers, Inc., and Integrated Resources in connection with structuring issues and public offerings and private placements. On the other side of the table, Mr. McGill has represented issuers in various industries, including biotech, fashion, manufacturing, aerospace, telecommunications and real estate. Mr. McGill has represented a number of his clients from their initial private placement through their public offering and successful listing on a US exchange. Mr. McGill became Managing Partner of Eaton & Van Winkle in 2012, graduated from Colgate University cum laude (A.B., 1977); received his JD from Hofstra University School of Law, where he was a member of the Law Review, and an LL.M in Corporation Law from New York University (1986).
Some of the transactions in which Mr. McGill has served as counsel include the Initial Public Offering of Donna Karan, the leveraged buyout of Kohl's Inc., the sale leaseback of the headquarters of Xerox and Ducommun Aerostructures, and more recently nearly a dozen reverse mergers for US domestic and Chinese operating companies, including, among others, Universal Travel, Air Industries Group, Dune Energy, Xiangwu DMC Paper Holding Group Ltd., Adamant DRI Processing & Minerals Group, and BioPharm Asia. Mr. McGill has represented Aoxin Tianli, Inc., since shortly after the completion of its IPO in 2010. Other Members of Eaton & Van Winkle have also been representing Chinese individuals and entities for more than twenty years in connection with operating businesses in both China and the United States, real estate acquisitions and management throughout the United and the protection of IP originating inside China. Currently, Eaton & Van Winkle maintains a working relationship with LungTin International, an intellectual property law firm with over 160 professionals throughout China, which houses one of its partners in the offices of Eaton & Van Winkle. On the litigation side, one of Eaton & Van Winkle's partners successfully defended claims brought against eight accounting firms arising out of reverse mergers of Chinese operating companies.


JAY LINDE, MANAGING PARTNER, TAG ASIA PARTNERS (INVESTMENT BANK)
Mr. Linde has been actively advising Asia based companies for over 10 years. Mr. Linde is currently the Managing Partner of TAG Asia Partners, a boutique advisory firm focused on advising China based companies seeking to access international capital markets and pursue M&A strategies. Prior to founding TAG Asia, Jay led the banking team and established the Asia practice as Senior Managing Director at Burnham Securities. Previously a senior banker at JP Morgan Chase and Bank of America, Jay has raised over $14 billion for clients and advised on global M&A transactions with an aggregate transaction value in excess of $4 billion. Jay earned his bachelor degree from Boston University and his MBA from the Stern School of Business at NYU.
